Terms of Sale

1. Order Acceptance

All orders placed through BioMall.ai are subject to acceptance by the respective distributor or supplier. BioMall.ai acts solely as an intermediary platform. A confirmed order is binding only upon written acceptance by the supplier, which may be communicated via email or through the platform.

2. Pricing and Quotation

All prices listed are indicative unless provided as a formal quotation. Final prices are determined by the distributor at the time of invoicing and may vary based on quantity, currency fluctuations, taxes, and applicable duties. GST and other taxes will be added as applicable under Indian law.

3. Payment Terms

Payment terms are agreed between the buyer and the distributor directly. Common terms include:

• 100% Advance: Full payment before order processing.
• 30/60 Days Credit: Subject to distributor's credit policy and prior agreement.
• Proforma Invoice (PI) Based: Payment against PI prior to dispatch.

BioMall.ai does not handle or collect payments on behalf of distributors or suppliers.

4. Delivery and Shipping

Delivery timelines provided on the platform are estimates only. Actual delivery may vary depending on product availability, supplier lead times, and logistics. Shipping costs and incoterms (DDP, ExW, CIF, etc.) are agreed directly with the distributor. BioMall.ai is not responsible for delays caused by couriers, customs clearance, or force majeure events.

5. Title and Risk

Title to goods and risk of loss or damage shall pass from the supplier to the buyer in accordance with the agreed incoterms in the sales invoice. Until full payment is received, the supplier retains title to goods.

6. Product Availability

Product availability shown on BioMall.ai is indicative and subject to change. In the event a product becomes unavailable after order confirmation, the distributor shall notify the buyer and offer an alternative or a full refund of any advance payment made.

7. Cancellation Policy

Order cancellations must be requested before the order has been dispatched. Cancellation requests for custom or imported items may not be accepted after order confirmation. Any cancellation fees, restocking charges, or import costs already incurred may be passed on to the buyer.

8. Governing Law & Disputes

These Terms of Sale are governed by the laws of India. Any disputes arising from transactions facilitated through BioMall.ai shall be resolved amicably between the buyer and the distributor. BioMall.ai may facilitate dispute resolution but is not a party to any transaction.
